  1. GENERAL INFORMATION
    1. To provide Fleet Management Software and Services to its customers, Optimus Fleet must gather information on vehicles, drivers, software users with authorized logins provided by their employers, our customers, as well as other customers employees like mechanics, administrative personnel, clerks, and similar, in addition to management personnel.
    2. This Optimus Fleet privacy policy describes the business and personal data (defined below) that we may collect about your company and/or about you, how we use and protect such data, and the choices available to our customers and users about how we may use such data. Our customers and users’ privacy are important and essential to us. If you have a contract with Optimus Fleet, you are required, by such a contract, to confirm that you have read and accepted this policy before we enter into business with you. In all other cases, please get to know our privacy practices and contact us should you have any questions about this policy, at www.optimusfleet.com/privacypolicy.
    3. This Optimus Fleet privacy policy in constantly been revised with the purpose of remaining compliant with the General Data Protection Regulation (EU Regulation 2016/679) (“GDPR”), as well as with the California Consumer Privacy Act of 2018 (“CCPA”) requirements.
  2. DEFINITIONS AND DATA COLLECT UTILIZED BY OPTIMUS FLEET
    1. Individual Data. “Individual data” is any information that relates to an identified or identifiable individual, herein defined as a company or a person. Optimus Fleet collects such data as follows:
      1. Company or Personal data provided directly to Optimus Fleet. Optimus Fleet may collect personal data provided directly by any individual, such as its customers and/or its employees and users, when, for example, an individual access our website, establish a user account, give us your name, email address, etc. Any individual may also choose to submit personal data to Optimus Fleet via other methods, such as in response to marketing or other communications; through social media or online forums; through participation in an offer, program or promotion; in connection with an actual or potential business relationship with our company; or by giving us your business card or contact details at trade shows or other events. Once you contact Optimus Fleet, we may also keep a record of the respective interaction to better service you eventually.
      2. Company or personal data collected automatically. Optimus Fleet may automatically collect information about how your company, or any user, engages and use our solutions (e.g., via our websites and/or applications), products and/or services over time, and some of this may be personal data. In addition, Optimus Fleet may use cookies and other technologies to function effectively. For more information, please refer to the “Cookies and Similar Technologies” section of this privacy policy below.
      3. Company or personal data collected from other sources. Optimus Fleet may receive your personal data via a referral. In addition, we may supplement other personal data we have collected with information from third parties or other publicly available sources. If the Service you use is offered by one of our partners and you registered with such a partner, we may also receive your personal data from them.
    2. Categories of company and personal data Optimus Fleet typically collects. Depending on your interaction with our business, we may collect:
      1. Commercial information, such as records of vehicles data, drivers data, routes, vehicle fuel consumption, tire consumption, mileage driven, hours spent driving, driver behavior capture by Optimus Fleet cameras, maintenance schedules and data, histories and tendencies of such data, and other related to the functionalities offered by our solutions to our customers.
      2. Data referring to personal identification, e.g., real names, aliases, postal addresses, online identifiers, government-issued identifiers, email addresses, phone numbers, account names, or other similar identifiers.
      3. Internet activity information, such as Internet protocol (IP) address, device and advertising identifiers, browser type, operating system, Internet service provider, the web page that directed you to our services, the date and time of your visit, information about how you engage with Optimus Fleet (e.g., the links or buttons you click and pages you view of our website or applications), the fact of whether an email was opened, and other standard server log information.
      4. Professional information, such as titles, company name, customers names, etc.
  3. COOKIES AND SIMILAR TECHNOLOGIES
    1. Optimus Fleet, or all partners, collaborators, and affiliates, may collect some personal data through cookies, tags, pixels, software development kits (“SDKs”), and other technologies for various purposes, among which:
      1. For trend analysis, for the administration of points of contact with you, including our website, to track users’ behavior and navigations on our website, to collect data on our user base (e.g.: location information and/on IP addresses, display of advertising on our website, and similar).
      2. Cookies are usually text files stored on a user's browser containing information about the user (for example, information about networks and devices used to access Optimus Fleet’s website).
      3. Pixel tags (also known as “web beacons” or “clear GIFs”) are very small images or small pieces of data embedded in images that can recognize cookies, the time and date a page is viewed, a description of the page where the pixel tag is placed, whether an email was viewed, and similar information from your computer or device.
      4. SDKs are computer code that mobile app developers can include in their apps to enable data to be collected and related functionalities to be implemented.   4. ALLOWED USE AND CONTROL
    1. This Policy is provided for the use specific and exclusive of Optimus Fleet customers, and their respective authorized users, in connection with Optimus Fleet’s products and services.
    2. This document is mentioned in all contracts signed by Optimus Fleet and its customers, and its most recent version remains the only official privacy policy offered by Optimus Fleet, in detriment of any other.
    3. Also, this privacy policy covers only those instances when the purposes and means of processing your company and/or personal data are determined by Optimus Fleet, or in other words, when Optimus Fleet is the “controller” as defined by the General Data Protection Regulation (GDPR). It therefore does not apply to any company or personal data which we may process on behalf of our customers, or when we have a “processor” as defined by the GDPR. If necessary, please contact directly the relevant controller (e.g., your employer, if you are an employee of an Optimus Fleet customer) for more information about their privacy practices.
    4. In case you are a California (USA) Resident, Optimus Fleet does not sell company and/or personal information, as “sell” and “personal information” are defined under the California Consumer Privacy Act of 2018, in the preceding 12 months.
  5. AVAILABILITY, USAGE, AND RECOVERY OF DATA BY OPTIMUS FLEET
    Optimus Fleet uses data collected:
    1. To manage Optimus Fleet solutions, provided such operations do not override customers and users’ data protection rights. For example:
      1. To identify, develop, and market solutions, devices and services of implied interest to you.
      2. To develop new features or functionalities, inclusive as a result of customers’ feedback and suggestions.
      3. To manage and improve our systems, processes, infrastructure, website, and similar.
      4. To communicate with customers and users with regard to answering inquiries, business questions, products promotional activities, suggestions and other subjects of interest to our customers and users.
      5. To ensure the protection and security of our intellectual property, assets, systems, facilities, customers, end users, and in enforcing company policies.
      6. To protect our legal rights, and legitimate interests, including use in connection with compliance, regulatory, auditing, legal claims, investigative and disciplinary purposes (including disclosure of such information in connection with legal process or litigation) and similar compliance reporting requirements.
    2. To manage orders, services orders, and to process transactions.
    3. To register and manage accounts (e.g., email preferences), or for interacting with our business (e.g., via our website, telephone, video conferencing and/or email).
    4. To provide support and responding to customers’ queries, feedback, claims, etc.
    5. To comply with a legal obligation, whenever necessary, as, for instance:
      1. Tax law and similar obligations.
      2. Court orders, subpoenas, or other legal processes the company must comply with, and similar legal or regulatory requirements.
    6. Optimus Fleet undertakes limited monthly testing of disaster recovery plans and measures to ensure business continuity, as follows:
      1. Disaster recovery plans for server failure - enables switching to redundant hardware.
      2. Redundant networking equipment and server hardware.
      3. Use of cloud technology for Optimus Fleet business (available anywhere).
      4. “24/7/365” engineering support for all critical services (engineers and developers).
  6. SECURITY, DATA CENTERS, AND TECHNOLOGY SERVICE PROVIDERS
    1. Optimus Fleet stores data in Public Cloud services currently operated by IBM, located in USA. Our Cloud Provider do not allow third-party on-site visits, but only allow authorized personnel to gain access to their own physical server locations.
    2. Optimus Fleet uses wireless and information technology providers (including network security, intrusion control providers, and other) and mapping services to operate Optimus Fleet’s technology platform. Service providers work under contractual obligations that prevent access or visualization of any personal data of customers.
    3. Optimus Fleet public cloud security and access utilizes only the leading-edge public cloud services of IBM. Optimus Fleet’s Public Cloud partner data centers cannot be accessed by unauthorized persons, but only by authorized employees.
    4. Optimus Fleet uses IBM engines to provide computing resources for application and data hosting. These services fall under IBM’s very strict security policies, ensuring that Optimus Fleet keeps its customer data safe and secure. Here are some of the key features of this security practices:
      1. Dedicated Information Security Team, consisting of top experts in information, application, and network security.
      2. All IBM data centers feature a layered security model, including safeguards like custom-designed electronic access cards, alarms, laser beam intrusion detection, and biometrics.
      3. Unique Data Access Controls to help protect the security of customer information.
      4. IBM intrusion detection involves tightly controlling the size and make-up of Google’s attack surface through preventative measures, employing intelligent detection controls at data entry points, and employing technologies that automatically remedy certain dangerous situations.
      5. Cloud Platform and IBM infrastructure is certified for a growing number of compliance standards and controls, besides undergoes several independent third party audits in order to test for data safety, privacy, and security.
    5. Optimus Fleet access and Control of its Data Processing Systems ensures the implementation of adequate measures to prevent their data processing systems from being used by unauthorized persons. This is attained by:
      1. Identification of the terminal and/or the terminal user to the Optimus Fleet’s systems;
      2. Automatic time-out of user terminal if left idle, identification, password and additional factor required to reopen;
      3. Automatic turn-off of the user ID when several erroneous passwords are entered, log file of events, (monitoring of break-in-attempts);
      4. Issuing and safeguarding of identification codes;
      5. Dedication of individual terminals and/or terminal users, identification characteristics exclusive to specific functions; and
      6. All access to data content is logged, monitored, and tracked.
    6. Optimus Fleet maintains a list of persons with access to customer data and grants access rights to a limited number of people only, committing that the persons entitled to use their data processing system are only able to access the data within the scope and to the extent covered by their respective access permission (“authorization”) and that personal data cannot be read, copied. modified, or removed without authorization This is attained in the following manner:
      1. Through regular employee policies and training in respect of each employee’s access rights to the personal data, through the allocation of individual terminals and /or terminal user, and identification characteristics exclusive to specific functions;
      2. By controlling the retention of backup copies and by releasing data to only authorized persons and by controlling files and documenting destruction of data; and
      3. By monitoring capability in respect of individuals who delete, add, or modify the personal data; and by effective and measured disciplinary action against individuals who access personal data without authorization.
    7. Optimus Fleet’s Data Transmission Control is constantly managed by utilizing adequate measures to prevent the unauthorized access and use of devices or reading, or making copies of data, as well as modifications and deletions by unauthorized parties during the transmission thereof or during the transport of the data media. We ensure this by:
      1. Suitable use of firewall and encryption technologies to protect the gateways and pipelines through which the data travels, and
      2. By monitoring of the completeness and correctness of the transfer of data (end-to-end check).
  7. OPTIMUS FLEET DEVICE DATA SECURITY
    1. Optimus Fleet assigns specific control measures to each device utilized with its Platform, to enable them to connect and transmit in the vehicles where they are installed. To do so, it employs and implements measures to prevent any data from being read, copied, altered or deleted by unauthorized parties during the transmission or transport of any data to and from any Optimus Fleet device. This is attained by:
      1. All communications are securely authenticated prior to any transmission. All data, whether directly from the device itself, from attached third-party devices, or from the Gateway server, is securely encrypted end-to-end between the device and the secure Optimus Fleet Gateway server, using an industry-standard AES-256 encryption algorithm. The authentication and encryption processes use individual, random, rolling encryption keys that regularly change.
      2. All Optimus Fleet Fleet firmware is signed using certain algorithms and authenticated before being allowed to be updated on the device. This protects the device against malicious or unauthorized firmware.
      3. Optimus Fleet-based GPS and engine data transmitted do not contains any driver names or other sensitive data.
      4. All data sent between the Gateway Server and the Optimus Fleet database is done over a secure, encrypted connection.
  8. GENERAL DATA PROTECTION MEASURES AND CONCERNS
    1. Because Optimus Fleet has no control over customers who share passwords with others, or who reuse their own passwords on other sites that may be compromised, it is important that customers take their own password security very seriously. So, Optimus Fleet recommends to its customers minimum password standards for length and complexity, which can be enforced by Optimus Fleet login policies.
    2. If the customer is aware of any security breaches, they should immediately be reported to the Optimus Fleet security team. Customers should not create users in their system for people they do not fully trust. Customers should also revoke user accounts for individuals who no longer require access to the customer system.
    3. There is no facility nor is there a requirement for Optimus Fleet to connect directly into the end-users network under any circumstances. All Optimus Fleet data is wholly contained and managed within the Optimus Fleet infrastructure. The end-user has the ability, via the Optimus Fleet Software Developers Kit (SDK), to download data to its own network, if required. That connection and any data transferred outside of Optimus Fleet’s network is done over HTTPS.
    4. Optimus Fleet data is never stored on, copied to, or transferred via removable storage devices, unless there is a specific requirement from the end-user, with their written approval. Any such data under Optimus Fleet’s control is strictly controlled and suitably destroyed when no longer required.
    5. Customer data can be wiped out safely, at customers request, in compliance with all clauses of the respective Software Subscription and Services Agreement signed between the customer and Optimus Fleet, LLC.
    6. All Optimus Fleet servers are monitored 24 hours a day, 365 days a year, by fully redundant monitoring systems and internal engineering staff. Each server used is built using a standard, approved build of a Windows Server operating system, which has been hardened, to ensure all redundant or unused services are disabled, and unnecessary ports are closed.
    7. All software updates and patches are tested within a contained environment, and then pushed to each server on a monthly basis to ensure that Optimus Fleet’s servers are running the latest, most secure patches, programs, and applications.
    8. All servers are managed and maintained using industry-leading and In-house custom-written agents, which provides continuous security monitoring and protection, including Host Intrusion Detection/Prevention (HIDS), anti-malware (updated automatically), continuous vulnerability scanning (both internal and external), and Security Information Event Management (SIEM) tools, and custom event and log monitoring.
    9. Optimus Fleet undergoes annual external penetration testing on all its network, applications and Optimus Fleet GO devices, through trusted security partners, to ensure the systems remain constantly secure and contained.
    10. Optimus Fleet conducts systematic vulnerability testing on all our production servers (continuous scanning) and our pre-release server images to ensure that our processes are maintained and that no potential security or privacy risks are created. Any vulnerabilities discovered during the process are mitigated and retested before the image is released into production.
  9. TREATMENT OF SECURITY INCIDENTS
    1. In the event of a security breach, Optimus Fleet engineering may cut off some or all access to Optimus Fleet services in order to mitigate any possible intrusion damage. Once the threat has been contained or neutralized, a thorough and immediate investigation by high-level Optimus Fleet staff will be conducted, specifically to determine names and / or location of attacker(s), method(s) of breach, what kind of data was exposed (if any), and customers who may be affected.
    2. If Optimus Fleet determines that customer data has been accessed by unauthorized persons, Optimus Fleet will inform affected customers immediately (within 24 hours), as required by applicable law, and work with them to ensure that the data is secured, moved, removed, or changed.
    3. Optimus Fleet’s Incident Response Program (GRIP) was developed in accordance with NIST Special Publication 800-61 Revision 2: Computer Security Incident Handling Guide and is designed to align with industry best practices.
    4. Optimus Fleet is committed to continually improving and updating our Incident Response capabilities by incorporating lessons learned from previous responses that occur both internally and in the greater security community.
  10. TREATMENT OF DATA, AVAILABILITY AND BACKUPS, AND DATA RECOVERIES
    1. Optimus Fleet implements suitable measures to ensure that personal data is protected from accidental destruction or loss. This is attained by treating the entire backup as follows:
      1. Hosted data on the Optimus Fleet platform is backed up daily, 365 days a year;
      2. Backups are confirmed, verified, and moved to a separate physical location for storage (which may or may not be within the same data center);
      3. Backed up data is protected and access is limited to specific, authorized Optimus Fleet employees;
      4. Backup infrastructure has suitable redundancy in the event of hardware failures;
      5. Backed up data is stored fully encrypted, using enterprise-grade encryption technologies.
    2. Customers can delete and correct data stored on Optimus Fleet’s systems. On request, Optimus Fleet can assist with data exports, deletion, and correction under a separate consulting arrangement at then-current hourly rates.
    3. Optimus Fleet will only initiate a purge when it is required to preserve the integrity, reliability, and availability of the SaaS. If a purge is performed by Optimus Fleet, Optimus Fleet will still retain a minimum 365 days of data prior to the purge date and will provide advance notice to the database owners. If data is to be purged and you wish to retain your data for longer than a year you are encouraged to retrieve the desired data using one of the API tools provided by Optimus Fleet.
  11. OPTIMUS FLEET EMPLOYEES KNOWLEDGE OF PRIVACY POLICIES
    1. Optimus Fleet personnel are fully knowledgeable of Optimus Fleet’s security and privacy policies.
    2. All employees are required to learn of this policy and are trained to fully comply with it.
    3. Below are some of the requirements each Optimus Fleet employee agrees to, as part of the company’s onboarding procedures:
      1. The employees handling the security of Optimus Fleet sites and apps are located at the engineering department located in Panama City and/or in Orlando, FL.
      2. Access to secure areas of the Optimus Fleet systems is given only to authorized personnel. Such access is disabled automatically when the employee leaves the company and/or after 90 days in use, when it must be replaced.
      3. Accesses undergo a rigorous authentication process to ensure the validity of the respective credentials. Al accesses are timed and logged.
      4. All Optimus Fleet employees are subject to background checks according to lawfully sanctioned practices in each country.
      5. Each authorized employee is required to use passwords that contain at least 12 characters therein included numeric, upper and lower cases, letters, and symbols.
  12. DISCLAIMER
    1. This Privacy Policy is subject to change without notice, at Optimus Fleet sole discretion. The revision which will appear at the Optimus Fleet website, by clicking at the link above, is to be considered the last valid edition of this Privacy Policy.
    2. Optimus Fleet provides access and use of its solutions only to customers who have signed a Software and Services Subscription Agreement with the company, their employees, managers, directors, agents, and representatives duly authorized by the customer to access and use the Optimus Fleet Solutions.
    3. All Optimus Fleet customers are required to ensure that each of its employees, managers, directors, agents, and representatives has given her or his full consent to Optimus Fleet for the use of their private data, in connection with the use of the software and/or the devices that capture, transmit, and make such data available.
    4. Failure by one of our customers to obtain such consent will be the exclusive responsibility of the customer, who has the indelible and non-transferable responsibility to remedy the situation, assume all liabilities and obligations incurred, if any, and maintain Optimus Fleet free of any such liabilities, according to the Software and Services Subscription Agreement signed by Optimus Fleet and each customer.

MOBILE DIVICES AND APPS
TERMS OF USE AND PRIVACY POLICY FOR OUR APPS AND MOBILE ACCESS

 

  1. GENERAL CONDITIONS OF USE

    The purpose of this document is to establish the General Conditions of Use of MOBILE APPLICATIONS owned by OPTIMUS FLEET.

    OPTIMUS FLEET reserves the right to modify these Terms of Use in order to bring them into accordance with the current legislation applicable at all times. These Terms of Use do not exclude the possibility that certain Services of the applications, due to their particular characteristics, are subject, in addition to the General Conditions of Use, to their own particular conditions of use (hereinafter the Particular Conditions).

    OPTIMUS FLEET may, at any time and without prior notice, make changes and updates to these Terms of Use and The Privacy Policy. These changes will be published in the Application(s) and will be effective from the time of publication. As a result of the foregoing, the User must periodically review for changes to these Terms and, whether or not there is express consent, if the User decides to continue to use the Application(s) after publication, this must be construed to mean that the user has understood and accepted all changes therein updated. If you do not agree to updates to the Terms of Use or Privacy Policy, you may opt out of using the APPs Service.

    The access and download of the application are free of charge except with regards to the cost of the connection through the telecommunications network provided by the access provider contracted by the users. Certain services are exclusive to our customers and their access is restricted. The download and use of the application configures the condition of user of the same (hereinafter, the 'User') and means that all the terms and conditions contained herein were read, understood and accepted.

  2. USE OF THE MOBILE APP AND ITS SERVICES

    User acknowledges and accepts that the use of the contents and/or services offered by this mobile application will be at his/her sole risk and/or liability. The User pledges to use this mobile application and all its contents and Services in accordance with the law and the terms of this Terms of Use. Likewise, User pledges to make appropriate use of the services and / or contents of the mobile application and not to use them to carry out illegal or criminal activities, that violates the rights of third parties and / or that violates any valid regulation on intellectual and industrial property, or any other applicable rules. In particular, the User pledges not to transmit, introduce, disseminate and make available to third parties, any type of material and information (data contained, messages, drawings, sound and image files, photographs, software, etc.) that are contrary to the law and this Terms of Use. As an example only but by no means exclusive of any and all obligations the User pledges to:

    1. Do not introduce or disseminate content or any material containing any discrimination of race, gender, is xenophobic, pornographic, or makes apology of terrorism or threatens human rights.
    2. Do not introduce or disseminate data programs (viruses and harmful software) on the network, which may cause damage to the computer systems of the access provider, its suppliers, or third-party users of the Internet.
    3. Do not disseminate, transmit or make available to third parties any type of information, element or content that violates fundamental rights and public freedoms recognized constitutionally and in international treaties.
    4. Do not disseminate, transmit or make available to third parties any type of information, element or content that constitutes illegal or unfair advertising.
    5. Do not transmit unsolicited or unauthorized advertising, advertising material, "junk mail", "chain letters", "pyramid structures", or any other form of solicitation, except in those areas (such as commercial spaces) that have been exclusively designed for this purpose.
    6. Do not introduce or disseminate any false, ambiguous, or inaccurate information and content in a way that misleads the recipients of the information.
    7. Do not impersonate other users using their registration keys to the different services and/ or contents of the Portals.
    8. Do not disseminate, transmit or make available to third parties any type of information, element or content that constitutes a violation of intellectual and industrial property rights, patents, trademarks or copyrights that correspond to the owners of the Portals or to third parties.
    9. Do not disseminate, transmit or make available to third parties any type of information, element or content that constitutes a violation of the secrecy of communications and the legislation of personal data.
  3. 3. INTELLECTUAL AND INDUSTRIAL PROPERTY

    OPTIMUS FLEET reserves all rights to trademarks, trade names or other distinctive signs, patents, and intellectual property, with respect to the content and design of the application. All the contents of it, including without limitation, texts, graphics, images, their design and intellectual property rights that may correspond to such content, as well as trademarks, trade names or any other distinctive sign are the property of OPTIMUS FLEET.

  4. EXCLUSION OF WARRANTIES. Responsibility.

    OPTIMUS FLEET does not guarantee the availability of access and continuity of the operation of this mobile application and its services at all times, and therefore, OPTIMUS FLEET shall not be responsible for any damages caused to the User as a result of the unavailability, access failures and lack of continuity of use of this mobile application and its Services. OPTIMUS FLEET will be solely and exclusively liable for the Services it provides on its own and the contents directly originated by the company and identified with its copyright. Such liability shall be excluded in cases where there are causes of force majeure or in cases where the configuration of the User's devices are not adequate to allow the correct use of the Internet services provided by OPTIMUS FLEET. Downloading, accessing, and using the app on mobile devices does not imply an obligation on the part of OPTIMUS FLEET to control the absence of viruses, worms or any other harmful computer element. It is up to the User, in any case, the availability of appropriate tools for the detection and disinfection of harmful software.

  5. USER CONDUCT

    OPTIMUS FLEET does not guarantee that users of this mobile application will use the contents and / or services thereof in accordance with the law, or with these General Conditions. Likewise, it does not guarantee the veracity and accuracy, completeness and /or authenticity of the data provided by Users. OPTIMUS FLEET shall not be liable, indirectly or in any other way, for damages of any nature arising from the use of the Services and Content of the application by Users or that may arise from the lack of veracity, accuracy and / or authenticity of the data or information provided by the Users, or the impersonation of the identity of a third party made by a User in any kind of action through this mobile application. Therefore, the use of this application does not imply an obligation on the part of OPTIMUS FLEET to verify the veracity, accuracy, adequacy, suitability, completeness, and timeliness of the information provided through it. OPTIMUS FLEET is not responsible for the decisions made on the basis of the information provided through the application or for the damages caused to the User or third parties due to actions that have as their sole basis the information obtained in the application.

  6. APP PRIVACY POLICY

    OPTIMUS FLEET hereby informs users and customers of the application(s), its existing policy regarding the processing of all personal data provided to the company through the use of the functions of the application.

  7. IDENTIFICATION OF THE FILE MANAGER
